This role involves working with fund sponsors and institutional investors to provide strategic advice and support on the structuring, management, and compliance of various private investment funds, including venture capital, private equity, real estate, and other alternative funds. Duties Assist with the creation, structuring, and management of diverse private investment funds and their related entities. Advise fund sponsors and institutional investors on compliance with relevant regulatory frameworks, including federal and state securities laws. Provide counsel on fund formation across various types, including venture capital, growth equity, buyout, fund-of-funds, and specialized investment vehicles. Draft and negotiate fund-related documents such as limited partnership and limited liability company agreements. Facilitate secondary transactions and structure carry vehicles as required. Requirements Minimum of 3 years of experience working with private investment funds, including venture capital, private equity, and real estate funds. Proven ability to handle complex secondary transactions and structuring of carry vehicles. Education Juris Doctor (J.D.) degree from an accredited institution.
