Location: Boston | 2 remote days/week

Salary Range: $110,000 - $150,000 | Bonus Eligible

Schedule: Full-time | Monday-Friday

About the Role

Are you passionate about nonprofit law and ready to work with mission-driven organizations that make a difference? Our client, a well-established Boston-based boutique law firm , is seeking a skilled and experienced Nonprofit Corporate and Tax Attorney to join its collaborative and dynamic team.

Required Qualifications

• Juris Doctor (J.D.) degree from an accredited law school
• Active membership in the Massachusetts Bar, or eligibility to waive in
• 3+ years of legal experience in nonprofit tax and corporate law
• Deep knowledge of federal tax-exempt organization regulations , including the Internal Revenue Code and related IRS rulings
• Experience advising charitable organizations , foundations , or public interest entities
• Strong research, analytical, and writing skills
• Ability to work independently, manage multiple priorities, and communicate effectively with clients and team members

Key Responsibilities

• Advise clients on nonprofit formation and secure federal tax-exempt status under IRC 501(c)(3) and other sections
• Counsel tax-exempt organizations and Massachusetts public charities on compliance, governance, and regulatory obligations
• Structure and facilitate mergers , corporate affiliations , and entity restructurings
• Conduct legal research and draft memoranda on tax , corporate , and state/local regulatory issues
• Draft, review, and negotiate governance documents, commercial contracts, and other legal agreements
• Stay current on developments in nonprofit tax law , charitable solicitation laws , and relevant IRS and state agency guidance
